Investment Banking is the bank’s division in charge of structuring syndicated loans, issuing securities and raising capital for our clients. These transactions are then distributed among individual and institutional investors. This division is focused in providing financing solutions for corporate clients with diverse needs such as project financing, expansions, improvements to infrastructure, acquisitions, etc. These solutions are offered via syndicated loans, issuing fixed or variable income securities, mezzanine-type loans and other financing structures, which are then, distributed both in domestic and international markets.
Prival has extensive experience in structured financing, executing the following activities, among others:
• Analysis and development of the appropriate structure for each client.
• Preparation and management of the financial model to evaluate different financing options.
• Presenting the operation to investors, banks, multilateral agencies, development banks, risk rating agencies and financial insurers, mainly through a detailed brief or Information Memorandum.
• Coordination of due diligence activities.
• Coordination of all regulatory elements, including hiring external legal counsel. Coordinating, along with a legal advisor, the drafting, negotiation and signing of all documentation.
• Obtaining risk ratings evaluations for the operations and an impact report of the same on the ratings of the parties.
• Assisting in selecting and hiring banks, placing agents, trustees and common representatives.
• Advising regarding the creation and execution of public offerings.
• Distribution and visits to appropriate investors (road shows).
